Im Rahmen des laufenden Restrukturierungsprogramms hat Alpiq beschlossen, die von ihr gehaltenen Aktien von Romande Energie Holding SA zu veräussern (nachstehend REH, Valor HREN, ISIN CH0025607331). Alpiq und REH haben heute einen Vertrag unterzeichnet. Damit verpflichtet sich REH, von Alpiq 71'257 ihrer (eigenen) REH-Aktien zum Preis von 1100 CHF pro REH-Aktie zu übernehmen. Die Übernahme erfolgt am 8. Januar 2013. Alpiq kann damit einen Betrag von rund 78 Millionen CHF realisieren.
Ferner hat Alpiq REH eine Kaufoption für die verbleibenden 48'737 REH-Aktien in ihrem Besitz erteilt. Diese Option kann in einer oder mehreren Tranchen bis am 31. Mai 2013 ausgeübt werden.
Die Beziehung zwischen den beiden Unternehmen bleibt auch nach dieser Transaktion eng und langfristig ausgerichtet. Sie bildet eine stabile Basis für die Weiterführung und den Ausbau der Zusammenarbeit sowie die Energieversorgung durch Alpiq.
Die Transaktion ist eine weitere Etappe des Restrukturierungsprogramms zur Verringerung der Nettoverschuldung von Alpiq um einen Betrag zwischen 1,5 und 2 Milliarden CHF. Weitere Devestitionen sind in Vorbereitung.

Dans le cadre du programme de restructuration actuellement en cours, Alpiq a décidé de vendre les actions qu’elle détient dans Romande Energie Holding SA (ci-après REH; symbole de valeur HREN; ISIN CH0025607331). Alpiq et REH ont signé ce jour un contrat selon lequel REH s’engage à acquérir d’Alpiq 71’257 de ses (propres) actions REH, au prix de CHF 1'100.- par action. Cette acquisition interviendra le 8 janvier 2013 et permettra à Alpiq de réaliser un montant d'au moins 78 millions de CHF.
En outre, Alpiq a octroyé à REH une option d’achat portant sur le solde des actions de REH qu'elle détient, soit un total de 48'737 actions. Cette option est exerçable, en une ou plusieurs fois, jusqu’au 31 mai 2013.
Au-delà de cette transaction, la relation entre les deux sociétés demeurera étroite et axée sur le long terme, constituant une base stable sur laquelle poursuivre et développer leur coopération ainsi que la fourniture d’énergie par Alpiq.
Cette transaction est une nouvelle étape du programme de restructuration qui a pour but de réduire d'un montant compris entre 1,5 et 2 milliards de CHF l'endettement net d'Alpiq. D'autres désinvestissements sont en préparation.

As part of the current restructuring programme, Alpiq has decided to sell its shares in Romande Energie Holding SA (referred to below as REH; stock symbol HREN; ISIN CH0025607331). Today, Alpiq and REH signed an agreement under which REH undertakes to acquire from Alpiq 71,257 of its (own) REH shares for CHF 1100 per share. The acquisition will be completed on 8 January 2013, making approximately CHF 78 million for Alpiq.
In addition, Alpiq has granted REH an option to buy the remainder of its REH shares, i.e. a total of 48,737 shares. The option can be exercised, as a single or staged operation, until 31 May 2013.
After the transaction, relations between the two companies will remain close and focused on the long term, providing a stable foundation on which to continue and develop their cooperation and the supply of energy by Alpiq.
The transaction is a further stage in the restructuring programme aimed at reducing Alpiq’s net debt by CHF 1.5 to 2 billion. Further divestments are being prepared.

Nell’ambito del suo programma di ristrutturazione attualmente in corso, Alpiq ha deciso di vendere le proprie azioni detenute in Romande Energie Holding SA (di seguito REH; simbolo di borsa HREN; ISIN CH0025607331). Alpiq e REH hanno firmato oggi un contratto nel quale REH si impegna ad acquisire da Alpiq 71’257 delle proprie azioni REH al prezzo di CHF 1100 per azione. L’acquisizione avrà luogo l'8° gennaio 2013 e permetterà ad Alpiq di realizzare ricavi per circa 78 milioni di CHF.
Inoltre, Alpiq ha concesso a REH un’opzione d’acquisto sul resto delle azioni REH in suo possesso, ovvero un totale di 48'737 azioni. Questa opzione è esercitabile, in una o più volte, fino al 31 maggio 2013.
L'operazione comunque non incide in alcun modo sulla relazione delle due società che resta pertanto forte e duratura, costituendo una base stabile sulla quale potranno perseguire e sviluppare la loro collaborazione nonché la fornitura di energia da parte di Alpiq.
Questa operazione rientra nel programma di ristrutturazione con cui Alpiq intende ridurre l’indebitamento netto di 1,5 - 2 miliardi di CHF. Sono attualmente in corso ulteriori progetti di disinvestimento.
