CLARIANT GIBT VORZEITIGE KÜNDIGUNG DER WANDELANLEIHE BEKANNT
- Clariant zahlt Wandelanleihe 2009 – 2014 über CHF 300 Millionen vorzeitig zurück
- Wandlungsrecht in Clariant Namensaktien
- Neue Namensaktien ab 2012 dividendenberechtigt
Am 21. März 2013 wird die Wandelanleihe zum Nennbetrag zuzüglich aufgelaufener Zinsen zurückgezahlt, soweit die Inhaber der Wandelanleihe nicht bis zum 12. März 2013 von ihrem Wandlungsrecht Gebrauch machen. Ein entsprechendes Kündigungsinserat wird voraussichtlich am 8. Februar 2013 in der Neuen Zürcher Zeitung veröffentlicht. Die Gesellschaft geht aufgrund des aktuellen Kurses der Clariant Namenaktie davon aus, dass die Wandelobligationäre ihr Wandlungsrecht überwiegend oder vollständig ausüben werden. Sofern sämtliche Wandelobligationen ausgeübt werden, werden bis zu 36 186 971 neue Namenaktien aus bedingtem Kapital der Gesellschaft ausgegeben werden. Die aus Wandlung stammenden Clariant Namenaktien sind ab Geschäftsjahr 2012 dividendenberechtigt. Soweit vom Wandlungsrecht Gebrauch gemacht wird, reduziert Clariant ihre Finanzverbindlichkeiten und erhöht ihr Eigenkapital.
CLARIANT ANNOUNCES EARLY REDEMPTION OF CONVERTIBLE BOND

- Conversion rights into registered shares
- New shares will be entitled to dividends for 2012
On March 21, 2013, the convertible bonds will be redeemed at the total principal amount plus interest accrued as far as bondholders do not exercise their conversion rights by the end of March 12, 2013. An appropriate notice of redemption is expected to be published on February 8, 2013, in Neue Zürcher Zeitung. Given the current share price for Clariant registered shares, the Company expects bondholders to largely or completely exercise their conversion rights. In case all holders of the convertible bond make use of their conversion rights, up to 36’186’971 registered shares based on the conditional capital of the Company will be issued against the conversion. The new Clariant registered shares will be entitled to dividends for the financial year 2012. As far as the conversion rights are exercised, Clariant will reduce its net debt and increase its equity.
