Zurich teilt die erfolgreiche Placierung einer nachrangigen Anleihe über EUR 788 Millionen mit Dienstag, 26. Februar 2013 - 07:18

Zürich, 26. Februar 2013 – Zurich Insurance Group (Zurich) hat heute die erfolgreiche Placierung einer über 30-jährigen nachrangigen Anleihe von EUR 788 Millionen mitgeteilt. Die Anleihe, die erstmals im Oktober 2023 kündbar ist, richtete sich hauptsächlich an institutionelle Investoren am Euromarkt.

Zurich Insurance Company Ltd wird die Anleihe an ein „Repackaging-Vehikel“ (Aquarius + Investments plc, Dublin) ausgeben. Dieses emittiert daraufhin eine Anleihe, welche durch die Anleihe von Zurich Insurance Company Ltd abgesichert ist. Der jährliche Kupon wurde bis zum erstmals kündbaren Termin auf 4,25% festgelegt. Nach diesem Zeitpunkt erhalten die Investoren einen Kupon mit variablem Zinssatz.

Gleichzeitig mit der Neuemission hatten Investoren, die Anteile an der von Zurich Finance (USA), Inc ausgegebenen EUR 500 Mio. nachrangigen Anleihe mit Endfälligkeit 2025 hielten, die Möglichkeit, einen Teil oder sämtliche ihrer Anteile an die Neuemission anzudienen. Der gesamte Nominalwert der angedienten Anteile der 2025-Anleihe betrug EUR 82 Millionen, für welche die Investoren unter Berücksichtigung des Umwandlungspreises EUR 88 Millionen der neuen Anleihe erhielten.

Es ist davon auszugehen, dass die emittierte Anleihe aus regulatorischer Sicht wie auch aus Sicht der Rating-Agenturen im erlaubten Umfang als Kapital behandelt wird. Die Transaktion wurde für allgemeine geschäftliche Zwecke sowie für Refinanzierungsbedürfnisse in 2013 durchgeführt.
